1. Introduction

Welcome to LoopResolve ("Company," "we," "our," "us"). These Terms and Conditions ("Terms") govern your use of https://LoopResolve.com (the "Site") and any related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

2. Changes to Terms

We may revise these Terms at any time by posting an updated version on our Site. Continued use of our Services after changes are posted constitutes your acceptance of those changes.

3. Eligibility

By using our Services, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If using our Services on behalf of an entity, you represent that you have authority to bind that entity.

4. Use of Services

4.1. Account Registration

Certain features may require an account. You agree to provide accurate, current, and complete information, and are responsible for safeguarding your credentials and any activity under your account.

4.2. Prohibited Activities

You agree not to engage in any of the following:

• Violating any applicable laws or regulations.
• Infringing the intellectual property rights of any third party.
• Distributing spam, viruses, or other harmful code, or disrupting our Services.
• Attempting to gain unauthorized access to our Services or user accounts.

5. Intellectual Property

All content, features, and functionality on our Site are the property of the Company or its licensors and protected by intellectual property laws. Custom deliverables built for a client are transferred per the terms of the applicable project agreement; our internal frameworks and tooling remain our property.

6. Payment Terms

6.1. Fees

Engagements are billed per the signed statement of work or contract. Fees are non-refundable except as specified in writing or as required by Section 8.

6.2. Billing

You authorize us to invoice per the agreed schedule. Failure to pay may result in suspension of active work until the account is brought current.

7. Fair Usage & Revisions

To maintain quality and manage resources fairly, each engagement includes a defined number of revision cycles as scoped in the project agreement. Additional revisions beyond that scope may incur added cost.

8. Refund Policy

Our cancellation policy is designed to protect both client and Company:

• Orders canceled within 24 hours of placement are eligible for a full refund less a 10% processing fee, provided no work has begun.
• If we fail to deliver against an agreed timeline, you are eligible for a partial refund per the project agreement, less a 10% processing fee.
• No refunds for change-of-mind cancellations after 24 hours from order placement.
• All refund requests are reviewed by our team on a case-by-case basis.

9. Disclaimers & Limitation of Liability

Our Services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that our Services will be uninterrupted, error-free, or entirely secure.

To the fullest extent permitted by law, the Company will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, our Services.

10. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its affiliates from claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of our Services or breach of these Terms.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Disputes arising from these Terms or our Services shall be resolved through binding arbitration under the rules of the American Arbitration Association, with judgment enforceable in any court of competent jurisdiction.
